BRELA Company Registration Tanzania (2026): Step by Step Guide & Fees
Setting up a business in Tanzania has become significantly more streamlined with the digitalization of the Business Registration and Licensing Agency (BRELA). Today, instead of navigating long queues and paper forms, the entire process takes place online through the Online Registration System (ORS).
However, moving to a digital portal means administrative filters leave zero room for error. A slight mismatch in director details, improper drafting of your Memorandum and Articles of Association (Memart), or failing to submit Beneficial Ownership (BO) disclosures can trigger instant delays or rejections.
This guide breaks down how to register a Private Limited Company in Tanzania, the exact documents you need, and a clear breakdown of official processing fees.
1. Prerequisites Before Starting Your BRELA ORS Application
Before creating an account on the BRELA ORS portal, gather these key documents and credentials to prevent system holds:
National Identification Number (NIDA): Every Tanzanian citizen serving as a director or shareholder must possess a valid, updated NIDA number.
Passport Copy (For Foreign Nationals): High-resolution scanned bio-pages for any non-citizen directors or shareholders.
Director and Shareholder Requirements: A standard Private Limited Company in Tanzania requires a minimum of two directors and two shareholders.
Registered Office Address: A physical address detailing the plot number, street, district, and region of your business premises.
2. Step-by-Step BRELA Online Registration Process
Application Flow:
Reserve Company Name → Prepare Memart & Form 14 → File Beneficial Ownership (BO) → Pay Fees & Download Certificate
Step 1: Company Name Reservation
Start by performing a name search on the BRELA ORS platform.
Log into the system and select the name reservation service.
Submit up to three proposed names ranked by priority.
Once approved, BRELA reserves your chosen name for 30 days to allow you time to complete the filing. The name reservation fee is TZS 50,000.
Step 2: Drafting Legal Incorporation Documents
You must upload two primary legal documents:
Memorandum and Articles of Association (Memart): Outlines your company’s core objectives, internal governance rules, and share distribution. This must be signed by all directors and witnessed by a Commissioner for Oaths or an advocate.
Consolidated Forms 14a and 14b: Official declarations verifying company share capital, registered addresses, and appointment of directors and company secretaries.
Step 3: Submitting Beneficial Ownership (BO) Details
Tanzanian corporate law strictly enforces full disclosure of Beneficial Owners. You must declare any individual who ultimately owns or controls 25% or more of the company's shares or voting rights. Omitting BO details will block the final issuance of your certificate.
Step 4: Payment and Certificate Issuance
Once all web forms are filled and signed PDFs are uploaded, the portal generates a Control Number. Settle the government fees via bank transfer or mobile money platforms (M-Pesa/Tigo Pesa).
After a BRELA officer reviews and approves your application (typically within 3 to 10 business days), your Certificate of Incorporation is generated digitally for direct download.
3. Official Registration Fee Schedule (2026)
Total incorporation fees depend directly on the authorized share capital declared in your Memart.
4. Mandatory Post-Incorporation Steps
Receiving your BRELA Certificate of Incorporation is just step one. To operate legally, you must complete the following compliance milestones:
Obtain a Company TIN from TRA: Visit the TRA portal or local office. At least one director must attend in person for biometric fingerprint verification.
Value Added Tax (VAT) Registration: If your projected annual turnover reaches or exceeds TZS 100 Million, register your business for VAT.
Acquire Your Business License: Apply for a Class A (Ministry of Industry and Trade) or Class B (Local Municipal Office) license before entering commercial contracts.
Open a Corporate Bank Account: Submit your Certificate of Incorporation, Memart, Company TIN, and a Board Resolution to your chosen financial institution.
