BRELA ORS Name Reservation:

1. Name Search and Reservation via BRELA ORS

All corporate registrations begin on the BRELA Online Registration System (ORS).

  • Conduct a name availability search to ensure your proposed corporate name is unique.

  • Reserve the name for a period of 60 days upon approval.

2. Drafting Corporate Constitutive Documents

Your company requires a legally binding Memorandum and Articles of Association (MemArts). This document outlines:

  • The primary and secondary business objectives categorized under International Standard Industrial Classification (ISIC) codes.

  • Share capital structure and allocation among subscribers.

  • Internal corporate governance rules and directorial authority.

3. Online Filing and Certificate of Incorporation

Once the MemArts, Director Consent Forms (Form 14B), and Particulars of Directors (Form 14A) are signed and uploaded, BRELA issues an official Certificate of Incorporation.

4. Post-Incorporation Tax and Licensing Registration

Obtaining your incorporation certificate is only the first phase. Complete setup requires:

  • Tax Identification Number (TIN): Applied through the Tanzania Revenue Authority (TRA) for both the company and local directors.

  • VAT Registration: Mandatory for entities exceeding the TZS 100 million annual threshold.

  • Business License: Issued by the Ministry of Industry and Trade or the local Municipal Council depending on the sector.

  • Social Security Registrations: Mandatory filings with NSSF and the Workers Compensation Fund (WCF).
