Partnerships & Sole Proprietorships in Tanzania: Legal Setup Guide

For sole traders, small business owners, and professional partnerships, forming a limited liability company may not always be necessary. Setting up an unincorporated entity, such as a Sole Proprietorship or a Partnership, offers a simpler operational framework with lower statutory setup costs.

These entities are governed by the Business Names (Registration) Act and registered under BRELA.

1. Sole Proprietorships in Tanzania

A Sole Proprietorship is owned and managed by a single individual. The business and the owner are treated as a single legal entity.

Key Characteristics:

  • Unlimited Personal Liability: The owner is personally liable for all business debts and obligations.

  • Direct Ownership: Profits are taxed directly as personal income via the owner’s Tax Identification Number (TIN).

  • Simplicity: Minimal ongoing corporate secretarial maintenance required.

2. Partnerships in Tanzania

A Partnership involves two or more individuals (up to a maximum of 20) agreeing to carry on commercial activity together with a view to profit.

Key Characteristics:

  • Partnership Deed/Agreement: Outlines profit-sharing ratios, capital contributions, management duties, and dispute resolution mechanisms.

  • Joint and Several Liability: Partners share personal liability for debts incurred by the business.

  • Pass-Through Taxing: The partnership files informational tax returns, while partners report their individual income share.
