What is a Private Limited Company in Tanzania?

A Private Limited Company (Ltd) is the most common and versatile business vehicle used by both local and foreign investors in Tanzania. Regulated under the Companies Act, Cap 212, a private limited company limits shareholder liability to their unpaid share capital while functioning as a fully independent legal person.

Key characteristics include:

  • Directorship: Minimum of 2 directors (can be local or foreign nationals).

  • Transferability: Shares cannot be offered to the public, and transfer rights are restricted by the company's Articles of Association.
